Terms of Service
1. Acceptance and eligibility
By accessing math.foundation, submitting a market activation request, or using any part of the Math Foundation service, you confirm that:
- You are at least 18 years of age, or a parent or guardian accepting these Terms on behalf of a minor learner;
- You have the legal capacity to enter a binding contract;
- You will use the service in compliance with these Terms and all applicable laws; and
- If accepting on behalf of an organisation, you have authority to bind that organisation to these Terms.
If you do not agree to these Terms in their entirety, do not use the service.
2. Alpha and beta nature of the service
Math Foundation is currently in alpha release. You acknowledge and accept that:
- The service is provided for evaluation purposes and may contain bugs, errors, incomplete features, and security vulnerabilities.
- Features, pricing, and availability may change at any time without prior notice during the alpha and beta periods.
- We do not guarantee continuous or uninterrupted access, data preservation, or any particular level of performance during the alpha or beta period.
- Alpha or beta access may be revoked at our sole discretion.
- Learner data stored locally during the alpha is not backed up on our servers; you are responsible for any exports you wish to retain.
Graduation from alpha to a production service will be communicated by email and on the website. At that point, a production version of these Terms will apply and you will be asked to review and accept them.
3. The service
Math Foundation provides a mastery-based mathematics education platform including, but not limited to:
- A skill graph covering mathematics from foundational counting to advanced topics;
- Interactive practice exercises with automated answer assessment;
- A voice AI tutor that uses browser-based or on-device speech recognition to support spoken responses;
- Diagnostic assessment that identifies knowledge gaps and misconceptions;
- Spaced-review and mastery tracking;
- Educator tools including class dashboards, progress reporting, and pilot packet exports; and
- Blog content, documentation, and supporting static pages.
The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice where practicable.
4. Accounts and access
The alpha demo and several static features are available without an account. Production learner accounts — including school SSO, persistent cloud-backed progress, and multi-learner rosters — are not yet available. When production accounts launch:
- You must provide accurate, current, and complete registration information.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must notify us immediately at liam@math.foundation if you become aware of any unauthorised access to your account.
- School and institution administrators are responsible for managing learner and educator accounts within their subscription.
5. Acceptable use
You may use Math Foundation only for its intended educational purpose. You must not:
- Use the service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorised access to any part of the service, its infrastructure, or another user's account;
- Scrape, crawl, or systematically extract content from the service without our written permission;
- Reverse-engineer, decompile, or disassemble any part of the service, including AI model weights or curriculum data;
- Introduce malware, viruses, or other harmful code into the service;
- Use the service to harass, bully, or harm any other user, including learners;
- Attempt to circumvent any age-gating, parental consent, or child safety measure;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Use the service to advertise or sell products or services without our written permission;
- Share access credentials or allow concurrent use of a single-learner account by multiple individuals (except where your plan explicitly permits multiple named learners); or
- Use the service in any way that could damage, disable, overburden, or impair it or interfere with any other user's use of it.
We reserve the right to investigate suspected violations and, if confirmed, to suspend or terminate the offending account without refund.
6. Intellectual property and ownership
6.1 Our intellectual property
The Math Foundation platform, including the skill graph structure, lesson sequences, misconception diagnostic engine, voice AI tutor, branding, design, code, and curriculum text, is owned by or licensed to Riverun Pty Ltd and is protected by Australian and international copyright, trade mark, and other intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the service as intended.
6.2 Learner-owned work
Learners own their own work. Practice answers, written explanations, diagrams, and other original content produced by a learner during their use of Math Foundation belong to that learner (or, for minors, their parent or guardian). We do not claim ownership of learner-generated content.
By using the service, learners grant Riverun Pty Ltd a limited, non-exclusive, royalty-free licence to store and process their work solely for the purpose of delivering the Math Foundation service, including generating diagnostic feedback and tracking mastery progress. This licence does not permit us to use learner work for advertising, to train AI models on identifiable learner data without explicit additional consent, or to share it with third parties except as described in our Privacy Policy.
6.3 Educator and school content
Where educators upload custom content (e.g. supplementary questions or class notes), they retain ownership of that content and grant us a limited licence to host and display it within their account for the duration of their subscription.
6.4 Feedback
If you provide us with feedback, suggestions, or ideas about the service ("Feedback"), you grant Riverun Pty Ltd a perpetual, irrevocable, worldwide, royalty-free licence to use that Feedback for any purpose, including improving the service, without any obligation to compensate you. We will not identify you as the source of Feedback without your consent.
7. AI-assisted outputs
Math Foundation uses artificial intelligence — including large language model techniques and automated assessment algorithms — to generate tutor explanations, diagnostic feedback, practice questions, and skill-path recommendations. You acknowledge and accept that:
- AI outputs are clearly labelled. All content generated by the AI tutor (Ada) or automated systems is labelled as AI-assisted within the product interface. Learners and educators can see when feedback is system-generated versus human-authored.
- AI outputs may contain errors. AI-generated explanations and feedback are provided to support learning and should not be treated as authoritative mathematical references. Educators are encouraged to review AI-generated content and report inaccuracies.
- Learner work is the learner's own. Using the AI tutor's hints or explanations does not transfer authorship of a learner's answers to the AI. The learner retains ownership of work they produce.
- No academic misconduct guarantee. Math Foundation is designed as a learning tool, not an assessment submission platform. If you are using it in an assessed context, ensure compliance with your institution's academic integrity policy.
8. Subscription plans and billing
8.1 Current plans
Math Foundation offers the following published subscription tiers. Prices are in Australian Dollars (AUD) inclusive of GST where applicable.

8.2 Billing not yet active
Billing is not yet live. During the current alpha period, no charges are incurred regardless of the plan you select in the activation form. Selecting a paid plan during the alpha registers your intent and places you in the priority queue for that tier — it does not create a billing obligation.
Paid checkout is now available for selected plans through Stripe Checkout. You are charged only after you choose a paid plan, enter payment details in Stripe, and confirm the checkout. You will not be auto-charged on the basis of a free demo, alpha activation request, or waitlist request alone.
8.3 Future billing terms
When billing launches, the following terms will apply (and will be confirmed in a billing-activation notice):
- Monthly plans are billed monthly in advance and may be cancelled at any time; cancellation takes effect at the end of the current billing period.
- Annual plans are billed annually in advance. Cancellation takes effect at the end of the annual term; no prorated refunds are provided for early cancellation of annual plans except where required by Australian Consumer Law.
- School licences are subject to a separate written agreement and invoice schedule.
- We reserve the right to change prices with 30 days' notice. Existing subscribers will be notified by email and their price will remain unchanged until the end of their current term.
- Payments are processed by Stripe, a PCI-DSS compliant third-party payment processor. Riverun Pty Ltd does not store payment card details.
- Stripe sends the official payment receipt or tax invoice to the checkout email address. Math Foundation may also send a separate onboarding confirmation email.
- Where GST applies under the A New Tax System (Goods and Services Tax) Act 1999, it will be included in the displayed AUD price or itemised on your tax invoice.
8.4 Australian Consumer Law
Nothing in these Terms limits or excludes any right or remedy you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)), including any consumer guarantee that cannot be excluded by contract.
9. Suspension and termination
9.1 Your right to stop using the service
You may stop using Math Foundation at any time. For paid subscribers (when billing is active), you may cancel your subscription via your account settings. Cancellation takes effect as described in section 8.3.
9.2 Our right to suspend or terminate
We may suspend or terminate your access to the service, with or without notice, if:
- You breach these Terms or our Privacy Policy;
- We reasonably believe your use poses a risk to the security or integrity of the service or to other users;
- We are required to do so by law or court order; or
- During the alpha period, at our discretion as part of managing the alpha programme.
9.3 Effect of termination
On termination, your right to access the service ceases immediately. For locally stored data (alpha period), you are responsible for exporting any data before terminating your access. We will retain and delete personal data in accordance with our Privacy Policy.
10. Disclaimers and limitation of liability
10.1 No warranty
To the fullest extent permitted by law, Math Foundation is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement. This is particularly important during the alpha and beta period.
We do not warrant that:
- The service will meet your specific educational requirements or produce a particular learning outcome;
- The service will be uninterrupted, error-free, or secure;
- Any content, curriculum text, or AI-generated explanation is accurate, complete, or current; or
- Defects will be corrected within any particular timeframe.
10.2 Limitation of liability
To the fullest extent permitted by applicable law, Riverun Pty Ltd, its officers, employees, agents, and licensors will not be liable to you for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, educational opportunity, or goodwill, arising out of or in connection with your use of or inability to use Math Foundation, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or related to these Terms or the service is limited to the greater of (a) the total fees you have paid to us in the 12 months preceding the claim, or (b) AUD $100.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law including the Australian Consumer Law.
11. Indemnification
You agree to indemnify and hold harmless Riverun Pty Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the service; (b) your breach of these Terms; (c) your violation of any third-party rights; or (d) any content you upload or submit to the service. This indemnification obligation does not apply to the extent that any claim arises from our own negligence or wilful misconduct.
12. Changes to these Terms
We may update these Terms from time to time. Material changes — including changes that affect your rights or obligations — will be communicated by:
- Updating the "Effective date" and version number at the top of this page;
- Posting a notice on math.foundation; and
- Sending an email to registered users where we hold an email address.
Changes take effect no earlier than 14 days after the notice is published, except where required by law or a security reason requires immediate effect. Your continued use of the service after a revised version of the Terms takes effect constitutes your acceptance of those changes. If you do not agree to the updated Terms, you should stop using the service and, if applicable, cancel your subscription before the effective date.
13. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law principles. You and Riverun Pty Ltd submit to the exclusive jurisdiction of the courts of Victoria, Australia, for the resolution of any disputes arising out of or relating to these Terms or the service.
Dispute resolution process: Before commencing any legal proceedings, you agree to contact us at liam@math.foundation with a written description of your dispute and the resolution you seek. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved within that period, either party may pursue any remedy available to them at law.
If you are a consumer in Australia, you retain all rights under the Australian Consumer Law and may also contact the Australian Competition and Consumer Commission (ACCC) or your state Consumer Affairs office.
14. General
14.1 Entire agreement
These Terms, together with our Privacy Policy and any separate written agreement executed by both parties (e.g. a School Licence Agreement), constitute the entire agreement between you and Riverun Pty Ltd with respect to Math Foundation and supersede all prior or contemporaneous understandings.
14.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
14.3 No waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, subject to notifying you as described in our Privacy Policy.
14.5 Force majeure
Neither party is liable for any failure or delay in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
14.6 Relationship of parties
These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Riverun Pty Ltd.
